Find Kitchen Pros may also facilitate certain promotions, offers, or discounts (“Promotions”) from select Professionals. All features, services, and offers described herein are collectively referred to as the “Service” or “Services.” By registering for or using the Service, you agree to the terms and conditions outlined in this Membership Agreement (“Agreement”). This Agreement may be updated or modified at our sole discretion, and you will be notified of significant changes. Your continued use of the Service constitutes acceptance of any updates. You also agree that additional terms, policies, or privacy notices may govern specific features of the Service. BY ACCEPTING THIS AGREEMENT, YOU CONFIRM THAT YOU HAVE READ AND UNDERSTAND ALL TERMS AND AGREE TO BE BOUND BY THEM.
1. SERVICE OVERVIEW Find Kitchen Pros enables users to access and contribute reviews and ratings of kitchen remodeling Professionals based on personal, first-hand experiences.
(a) Membership Plans
We offer annual membership plans (e.g., Basic, Plus, or Premium) with varying benefits (“Plans”). Your current Plan details can be reviewed by logging into your account at www.findkitchenpros.com under “Manage My Account.” Plan benefits and pricing are subject to change at our discretion.
(b) Revenue Sources
We generate revenue through membership fees and from Professionals who meet eligibility requirements and pay to advertise their services on our platform (“Advertisers”). Such advertising may include promotions, enhanced profiles, email campaigns, or other marketing efforts.
(c) Membership Benefits
Benefits associated with your Plan are available only while your membership is active and your account remains in good standing. Benefits, fees, and available promotions may vary between members even for the same Plan.
2. REGISTRATION AND ACCOUNT INFORMATION To access the Service, you must: Provide accurate, current, and complete registration information; Update your information as necessary to maintain its accuracy; Ensure your account is used only for personal purposes in accordance with this Agreement.
3. ELIGIBILITY You must be at least 18 years old to use the Service. Use of the Service is void where prohibited by law.
4. MEMBERSHIP FEES AND AUTOMATIC RENEWAL
(a) Fees

Paid Plans automatically renew for subsequent terms at the then-current fee using your saved payment information unless canceled prior to the renewal date. You may cancel your Plan at any time by contacting us via your account, email, or phone.
(c) Refunds
Refunds are available only as described here: if a Plan renews automatically and is canceled within 30 days of renewal, a full refund may be requested. Other refunds are not provided except as required by law or as specified in this Agreement.
(d) Account Updater
By registering, you authorize us to update your payment information automatically if your card information changes, including through third-party services, to prevent service interruption.
5. MOBILE APP PAYMENTS If enabled by a Professional, you may pay for completed projects through the Find Kitchen Pros mobile app using approved payment methods. Payments processed through the app are between you and the Professional. You agree that: Find Kitchen Pros is not a party to these transactions; Payments are final and non-refundable through the app except as required by law; Any disputes regarding payment are between you and the Professional; Find Kitchen Pros may update payment information via authorized services to prevent payment failures. Payment processing is facilitated by third-party providers, and use of the Service constitutes agreement to the applicable provider’s terms.
6. PRIVACY POLICY Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you consent to our collection and use of your information in accordance with the policy.
7. USER CONTENT AND REVIEWS By submitting reviews or ratings of Professionals, you confirm that: Reviews are based on your personal, first-hand experience; All content is accurate and truthful; You have no business or familial conflict of interest with the Professional; Find Kitchen Pros may remove or edit content at our discretion to meet publication standards.
8. ACCOUNT SECURITY You are responsible for safeguarding your account credentials. You agree not to share login information outside your household and acknowledge responsibility for all activity under your account.
9. LICENSE TO USE CONTENT You are granted a limited, non-commercial license to access and use reviews, ratings, and related content for personal decisions regarding kitchen remodeling Professionals. You may not copy, sell, or otherwise exploit content without express written consent.
10. DISPUTE ASSISTANCE If a dispute arises with a Professional, eligible members may request assistance through our Conflict Resolution Process (CRP). Participation is voluntary, and Find Kitchen Pros is not a legal mediator. We may contact the Professional to facilitate resolution. Use of the CRP does not guarantee a specific outcome and does not waive any liability limitations outlined in this Agreement.
11. INCENTIVES From time to time, Find Kitchen Pros may offer promotional incentives (e.g., merchandise or gifts) for select Plans. We are not responsible for lost, defective, or unusable Incentives and disclaim any related liability.
12. LIMITATIONS AND DISCLAIMERS Find Kitchen Pros does not guarantee any particular results from using the Service. All Services, reviews, and advertisements are provided “as-is” without warranties of any kind. We are not liable for damages arising from your use of the Service, including disputes with Professionals.
13. USER CONTENT AND LICENSE GRANT By submitting any reviews, ratings, comments, photographs, text, data, or other materials to Find Kitchen Pros (collectively, “User Content”), you confirm that you have all necessary rights to provide such content and you grant Pros Near Me Inc. an irrevocable, worldwide, perpetual, non-exclusive, fully paid license to use, reproduce, modify, display, distribute, create derivative works from, and sublicense such User Content. You further agree that Pros Near Me Inc. may display, place, or associate promotions adjacent to your User Content in any medium or format, and you acknowledge that the manner, form, and extent of such promotional placement may change at our discretion. You understand that Pros Near Me Inc. may take reasonable steps to prevent unauthorized use of your content by third parties, but that we do not claim ownership of your User Content.
14. PUBLICATION, DISTRIBUTION, AND RESPONSIBILITY OF CONTENT Pros Near Me Inc. acts solely as a platform to connect users with kitchen remodeling professionals and does not verify or endorse the accuracy, quality, or suitability of any User Content or content submitted by professionals (“Professional Content”). All User Content and Professional Content are the responsibility of the person who posted it. By using the Service, you accept that you may encounter content that is inaccurate, misleading, offensive, or inappropriate, and you assume all risks associated with your use of such content. Pros Near Me Inc. is not obligated to screen, monitor, or approve any content submitted by users or professionals but reserves the right to remove content that violates this Agreement. You agree to release Pros Near Me Inc. from any claims arising from your use or reliance on User Content or Professional Content, including errors, omissions, or defamatory statements.
15. PROFESSIONAL PROVIDERS Find Kitchen Pros only connects users with kitchen remodeling professionals. We do not endorse or assume responsibility for any content, advertising, products, services, or promotions provided by these professionals. Your interactions, negotiations, or agreements with such professionals are strictly between you and the professional. Pros Near Me Inc. is not liable for the availability, performance, or conduct of any kitchen remodeling professional, nor for any loss or damages resulting from your use of their services. We may exclude professionals from search results if they fail to meet our standards of conduct or performance. Background checks may be conducted at our discretion; however, such checks do not waive any limitations of liability stated in this Agreement.
16. USER CONDUCT By using Find Kitchen Pros, you represent and agree that you: Are at least 18 years old; Will comply with all applicable laws; Will submit accurate, thoughtful reviews specific to the kitchen remodeling professional being reviewed; Will not impersonate others, falsify information, submit harmful code, or otherwise interfere with the platform; Will not submit content irrelevant to kitchen remodeling or repeatedly post duplicative content; Will maintain rights to all User Content you submit; Grant the license described in Section 13;Will not attempt to access accounts, data, or systems without authorization; Will not resell or exploit the platform, User Content, or Professional Content without consent; and Will not create multiple accounts or circumvent prior terminations. Find Kitchen Pros may suspend or terminate your account for violation of these rules, and may seek remedies, including injunctive relief and damages, for breaches of this Agreement.
17. SERVICE MODIFICATION AND LIMITATIONS Pros Near Me Inc. may modify, restrict, or discontinue the Service at any time, with or without notice, and will not be liable for any resulting limitations, interruptions, or deletions. The platform may establish limits on usage, number of reviews, retention of data, and access frequency. These policies may be updated at our discretion.
18. DELAYS AND INTERNET LIMITATIONS Use of the Service is subject to limitations inherent to online communications, including delays, transmission failures, and technical interruptions. Pros Near Me Inc. is not responsible for any issues resulting from these factors.
19. FEEDBACK AND SUBMISSIONS We welcome user feedback on the Service but do not accept unsolicited creative ideas, suggestions, or concepts unless specifically requested. Any unsolicited submissions (“Submissions”) become the property of Pros Near Me Inc., and we are free to use or disclose them without obligation or compensation.
20. DISCLOSURE OF INFORMATION Pros Near Me Inc. may buy, sell, or merge with other businesses. Customer information, including User Content, may be included as part of such transactions. By using the Service, you consent to the transfer of such information consistent with this Agreement.
21. TERM AND TERMINATION This Agreement remains in effect while your account is active. Either party may terminate at any time. Termination includes removal of account access, deletion of associated User Content, and revocation of licenses granted herein. If termination occurs without breach, a pro-rata refund may be issued.
22. MODIFICATION OF TERMS Pros Near Me Inc. may modify this Agreement at any time, effective immediately upon posting on our website. Users are responsible for reviewing the Agreement regularly, and continued use constitutes acceptance of changes. Disagreement with changes requires discontinuation of the Service.
23. COPYRIGHT AND INTELLECTUAL PROPERTY Except for User Content and Professional Content, all materials on the website—including text, graphics, logos, images, downloads, and software—are the property of Pros Near Me Inc. and/or its licensors and are protected under U.S. and international copyright laws.

Pros Near Me Inc. expressly disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. To the extent Pros Near Me Inc. is found liable, liability for damages is limited to one (1) month of your membership fee (annual membership fee divided by twelve).You understand and agree that Pros Near Me Inc. contracts with a third-party credit card processor for payment of membership fees. Neither the processor nor other involved parties (including issuing banks or merchant banks) shall be liable for damages arising from failure of Pros Near Me Inc. to provide the Service. Acceptance of This Agreement
Your access to, use of, or participation in the Find Kitchen Pros Project Submission Program (the “Program”) operated by Pros Near Me Inc. (“Find Kitchen Pros,” “we,” “us,” or “our”) is governed by this Find Kitchen Pros Project Submission Customer Agreement (the “Agreement”) and all applicable policies, guidelines, and agreements referenced herein. By accessing, using, or participating in the Program in any manner, you agree to be bound by this Agreement, including the Find Kitchen Pros Privacy Policy, which is incorporated herein by reference. All references to “you” or “your” refer to the individual accessing or using the Program. Participation is strictly prohibited for individuals under the age of eighteen (18). This Agreement becomes effective upon your acceptance and acknowledgment, whether electronically or in writing, and Find Kitchen Pros reserves the right to terminate or suspend access to the Program at any time, with or without cause, at our sole discretion.
Modifications to This Agreement and Privacy Policy
Find Kitchen Pros reserves the right to revise, amend, or modify this Agreement or any documents incorporated herein at any time, without prior notice, in our sole discretion. Any amended Agreement will be posted on the Platform, accessible to you before project submission or service request. It is your responsibility to review this Agreement periodically for updates. Your continued use of the Program constitutes your consent to be bound by any updated terms. If you do not agree with the modified terms, you must immediately cease participation in the Program. You also agree to be bound by the terms of the Find Kitchen Pros Privacy Policy, which may also be updated from time to time and will be available on the Platform.
Description of the Project Submission Program
The Program is designed to facilitate a connection between Customers seeking kitchen remodeling services and qualified, verified service providers (“Service Providers”) who are interested in performing such services. Customers may submit detailed project requests through the Find Kitchen Pros website, mobile application, or other affiliated platforms (collectively, the “Platform”). The Program is intended to provide a streamlined process through which Service Providers may respond to Customers’ inquiries and availability requests. Find Kitchen Pros merely operates the Platform and Program to enable such connections; we do not perform any remodeling services ourselves and are not responsible for the quality, timeliness, or outcome of services rendered by Service Providers.
Information You Provide and TCPA Consent
When using the Program, you may be asked to provide certain personal information, including but not limited to your contact details, property information, project specifications, and preferred communication methods. By providing such information, you expressly consent to be contacted by Find Kitchen Pros and by Service Providers through phone, email, text (SMS), fax, mail, or other reasonable means, including automated and prerecorded communications, even if you are registered on any “Do Not Call” list. Your consent is not required for purchasing products or services. All information provided must be truthful, accurate, and current. Find Kitchen Pros reserves the right to refuse or terminate access to the Program if inaccurate, incomplete, or fraudulent information is submitted. You are responsible for all use of the Program conducted under your account credentials.
Your Conduct and Responsibilities
By participating in the Program, you agree to conduct yourself responsibly and lawfully. This includes, but is not limited to: Being at least eighteen (18) years of age. Complying with all applicable local, state, national, and international laws. Submitting accurate, detailed, and lawful project requests and content. Avoiding submissions that are offensive, defamatory, harassing, or invasive of others’ privacy or intellectual property rights. Not impersonating another individual or entity, falsifying information, or misrepresenting relationships with Find Kitchen Pros or others. Ensuring that submitted content does not contain viruses, malware, or disruptive code. Refraining from using automated means to access, copy, or interfere with the Platform. Respecting the rights of Service Providers and other users, and not imposing unreasonable or disproportionate burdens on the Platform. Find Kitchen Pros may, in our sole discretion, suspend or terminate access for violations of these terms and seek injunctive or other remedies for breaches. Find Kitchen Pros operates solely as a facilitator of connections between Customers and Service Providers. We do not provide remodeling services, sell goods, or assume responsibilities of a general contractor or merchant of record. All service agreements, contracts, and obligations are solely between you and the Service Provider. Find Kitchen Pros is not liable for any failure of performance, defects, delays, or damages arising from the services rendered or goods supplied by Service Providers. Publication and Distribution of Content
All content provided by Customers or Service Providers on the Platform remains the responsibility of the originator. Find Kitchen Pros acts as a passive conduit and does not guarantee the accuracy, quality, or legality of such content. By using the Platform, you accept the risks associated with exposure to potentially inaccurate, misleading, or offensive content. Find Kitchen Pros reserves the right, but is not obligated, to review, monitor, or remove content deemed to violate this Agreement or applicable law. You waive any claims against Find Kitchen Pros regarding content submitted, accessed, or transmitted through the Platform.
Service Providers
Service Providers are independently responsible for fulfilling the services described in the project request and any resulting contract (“Service Contract”). Find Kitchen Pros does not endorse or guarantee Service Providers’ qualifications, performance, or conduct. Customers are encouraged to conduct due diligence, including requesting references, verifying licenses, and evaluating qualifications. Find Kitchen Pros may, at our discretion, conduct background or financial checks on Service Providers; however, such checks do not alter our limited liability or disclaimers under this Agreement.
Membership Programs and Discounts
Find Kitchen Pros may offer membership programs that provide access to discounted services, priority support, or other benefits. Memberships may renew automatically and are subject to billing and cancellation terms posted on the Platform. Discounts obtained through membership programs cannot be combined with other promotions unless explicitly authorized. Members are responsible for maintaining accurate payment information and complying with cancellation and renewal procedures.
Promotional Offers and Coupons
Promotional coupons, offers, or discounts are valid only for specific services as designated and within stated expiration periods. Such offers have no cash value and may not be combined with other promotions unless explicitly allowed. Misuse of coupons or promotion codes may result in billing for ineligible services. Find Kitchen Pros reserves the right to modify, cancel, or revoke any promotional offer at any time.
Minimum Age Requirement

Feedback and Submissions
Find Kitchen Pros welcomes feedback, suggestions, and comments regarding our services. However, unsolicited creative submissions (ideas, concepts, designs, or other content) become the sole property of Find Kitchen Pros and are not subject to confidentiality or compensation. Feedback related to service performance, usability, and quality is encouraged but must not include proprietary or confidential materials unless specifically requested.
Copyright and Intellectual Property
All Platform content, including text, graphics, logos, images, audio clips, software, and data compilations (collectively, “Copyright Materials”), is protected under U.S. and international copyright laws and remains the property of Find Kitchen Pros or its licensors. Users are prohibited from reproducing, distributing, or creating derivative works without express written consent. Warranty Disclaimer
The Program and Platform are provided “as is” and “as available.” Find Kitchen Pros disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted service. We do not guarantee accuracy, completeness, or reliability of content, Service Provider performance, or any service-related outcomes. Use of the Program is at your own risk.
Limitation of Liability
To the maximum extent permitted by law, Find Kitchen Pros is not liable for any direct, indirect, incidental, consequential, exemplary, punitive, or special damages arising from your use of the Platform, the Program, or any service contract with Service Providers. Liability, if any, is limited to the equivalent value of the services obtained through the Program. Payment processing and related third parties are not responsible for any breach of this Agreement, and you release them from any claims.
Indemnification
You agree to indemnify, defend, and hold harmless Find Kitchen Pros, its officers, directors, employees, agents, affiliates, and successors from claims, liabilities, damages, costs, or expenses (including attorneys’ fees) arising from your violation of this Agreement, use of the Program, or dealings with Service Providers. Find Kitchen Pros retains control over the defense of any claims or disputes arising under this indemnity.
Breach of Agreement and Liquidated Damages
You acknowledge that certain breaches are difficult to quantify. Violations, including posting prohibited content, unauthorized use of Platform content, or deploying disruptive programming routines, may result in liquidated damages ranging from $100 to $1,000 per violation, in addition to actual damages, attorneys’ fees, and court costs. Specific performance or injunctive relief may also be sought.
Notice
Find Kitchen Pros may communicate with you electronically, by mail, or via Platform postings. Mutual Arbitration Agreement
Disputes arising from this Agreement shall first attempt informal negotiation. Excluded disputes include intellectual property claims, injunctive relief, small claims court matters, or statutory claims not subject to arbitration. Class actions are waived; all disputes must be resolved individually.

Limitations Period
Any claim or cause of action arising from your participation in the Program must be filed within one (1) year of accrual.

Assignment

Waiver

Entire Agreement

Binding Effect
This Agreement binds you, Find Kitchen Pros, and their respective successors and permitted assigns. If you do not agree to all terms, you must not use the Platform or Program.
Provisions Remaining in Effect
Certain provisions, including those related to information, intellectual property, warranties, liability, arbitration, and governing law, remain in effect even after termination of this Agreement.
Definitions and Interpretations
For purposes of this Agreement, the following terms shall have the meanings specified below, unless the context otherwise requires:
“Account” means the registration and login credentials established by you to access the Platform, submit project requests, and communicate with Service Providers.
“Content” refers to any text, graphics, logos, images, audio, video, documents, reviews, feedback, project descriptions, or other materials submitted, uploaded, or otherwise transmitted through the Platform.
“Service Contract” refers to any agreement between you and a Service Provider resulting from a project submission, including all obligations, terms, and deliverables therein.
“Program Fees” includes any charges, membership fees, promotional costs, or other amounts owed to Find Kitchen Pros in connection with the Program, whether recurring or one-time.
“Dispute” means any claim, controversy, or disagreement, past, present, or future, arising out of or relating to this Agreement, the Program, the Platform, or any transaction facilitated by Find Kitchen Pros.
“Platform Policies” refers collectively to the Privacy Policy, Terms of Use, and any supplemental guidelines or instructions posted on the Platform. Interpretation of terms in this Agreement shall follow the principle that headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to statutes or regulations include amendments and successor laws.
Use of the Program and Platform
You acknowledge that the Program is designed solely for the purpose of facilitating connections between Customers and Service Providers. All interactions, agreements, and transactions arising from project submissions are strictly between you and the Service Provider. Find Kitchen Pros is not responsible for evaluating or guaranteeing the accuracy, reliability, or legality of any project submissions, pricing, or services.You agree that you will use the Program solely for lawful purposes, and in accordance with this Agreement and Platform Policies. Any unauthorized use, including but not limited to scraping data, unauthorized duplication, or commercial exploitation of Platform content, constitutes a material breach. You may not use the Program to:Transmit any unsolicited advertising, promotions, or spam.Engage in activities that could harm or interfere with the Platform or other users.Misrepresent your identity, credentials, or affiliation with a third party.Circumvent security measures or access content you are not authorized to view.
Customer Representations and Warranties
By participating in the Program, you represent and warrant that: You are at least 18 years old. You have full power, authority, and legal capacity to enter into this Agreement. All information submitted is accurate, complete, and current.You will comply with all applicable laws, rules, and regulations. You will not submit content that infringes on the rights of third parties, including intellectual property rights, privacy rights, or other proprietary rights.
Service Provider Relationships and Verification
Find Kitchen Pros may implement verification, background checks, or other vetting procedures to qualify Service Providers. Verification does not guarantee performance or service quality. Customers are responsible for independently confirming licenses, certifications, insurance coverage, references, and compliance with local laws. Find Kitchen Pros is not liable for any disputes, damages, or claims arising from Service Providers’ acts, omissions, or contracts. Service Contracts are between the Customer and Service Provider and are enforceable solely between those parties.
Payment Terms and Fees
Customers may be required to pay fees for Program participation, membership subscriptions, or specific service facilitation. All payments must be made through the designated Platform methods. Payment information must be accurate and up to date. Unauthorized or fraudulent payment activity may result in suspension or termination of the Account. Find Kitchen Pros is not responsible for Service Provider pricing, invoicing, or payment disputes. Refunds or chargebacks must be handled in accordance with the terms specified on the Platform.
Confidentiality and Proprietary Information
All non-public information exchanged between Customers, Service Providers, or Find Kitchen Pros during the course of using the Program shall be treated as confidential. However, you acknowledge that Find Kitchen Pros cannot guarantee confidentiality for user-submitted content. Submissions or feedback, unless explicitly marked as confidential and requested by Find Kitchen Pros, may be used for improvement of services or other business purposes.
Dispute Resolution Procedures
All disputes should first be addressed through informal negotiation. Written notice of the dispute must be provided, detailing the nature, basis, and remedy sought. Parties must attempt in good faith to resolve the dispute for at least thirty (30) calendar days prior to initiating formal proceedings. If unresolved, the dispute shall be submitted to final and binding arbitration under the Federal Arbitration Act, AAA Commercial Arbitration Rules, and, where applicable, AAA Consumer Rules. The arbitrator has authority to award any relief available under applicable law but may not order punitive damages beyond what is allowed in individual capacity claims.
Governing Law and Venue
This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law principles. All legal proceedings related to interpretation, enforcement, or arbitration enforcement shall be brought in the courts of competent jurisdiction in Delaware.
Limitation of Liability and Indemnification
To the fullest extent permitted by law, Find Kitchen Pros shall not be liable for any damages, losses, or claims arising out of the use of the Program or Platform, including: Direct, indirect, incidental, consequential, or punitive damages. Damages resulting from Service Provider performance, quality, or contract breaches. Losses arising from technical failures, delays, or errors in communication. You agree to indemnify and hold harmless Find Kitchen Pros, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including attorneys’ fees, arising from your violation of this Agreement or interactions with Service Providers.
Digital Millennium Copyright Act (DMCA) Procedures
If you believe your copyright or trademark has been infringed, please submit a written notice to our Designated Agent in accordance with DMCA procedures. Notices must include: Signature of authorized person. Identification of the work allegedly infringed. Identification of infringing material and its location. Contact information sufficient for response. Statement of good faith belief that use is unauthorized. Statement that information is accurate under penalty of perjury. Find Kitchen Pros will respond promptly, investigate claims, and remove infringing material as required by law.
